1. Acceptance of Terms

Welcome to **Zuvany**. By accessing or using the Zuvany website, services, and the **AI Smart Card** platform (the "Service"), you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you disagree with any part of the terms, you may not access the Service.

You must be at least 18 years old to use the Service.

2. Description of Service

Zuvany provides a no-code Artificial Intelligence (AI) platform that enables users to create, deploy, and manage an **AI Smart Card** (an automated chatbot/assistant) trained on their own provided content (website links, documents, text). The Service includes multi-channel integration (website, WhatsApp, Instagram, etc.), lead capture, meeting automation, and CRM synchronization.

3. User Accounts and Responsibilities

• **Account Security:** You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.
• **Accurate Information:** You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• **Prohibited Conduct:** You agree not to use the Service to transmit any material that is unlawful, harmful, defamatory, or infringes on any third party’s intellectual property rights.

4. Subscription, Billing, and Payments

• **Subscription:** Access to the Service is provided on a subscription basis (Monthly or Yearly) and includes usage limits (e.g., messages, characters) based on the plan (**Starter, Pro, Growth**) you select.
• **Billing:** You will be billed in advance on a recurring and periodic basis (Monthly/Annually).
• **Automatic Renewal:** Your subscription will automatically renew unless canceled at least 24 hours before the end of the current billing cycle.

5. Intellectual Property Rights (IP)

• **Zuvany IP:** The Service, its original content, features, and functionality (including the underlying AI models and code) are and will remain the exclusive property of Zuvany Inc.
• **Your Content (Training Data):** You retain all ownership rights to the **Content Data** (website text, documents, etc.) you provide to train your AI Smart Card. You grant Zuvany a limited, non-exclusive, worldwide, royalty-free license to use this data solely for the purpose of operating, improving, and providing the Service to you.
• **End-User Conversations:** You own the conversation data generated by your AI Smart Card and the resulting leads.

6. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Zuvany makes no warranties, express or implied, regarding the operation of the Service, the accuracy of the AI-generated responses, or that the Service will be uninterrupted, error-free, or secure.

8. Limitation of Liability

In no event shall Zuvany, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service.

9. Governing Law
